Employment Agreement

This agreement is entered into between Sapphire Security Services LLC and the Employee identified below.

1 Parties to This Agreement
EmployerSapphire Security Services LLC, a Nevada limited liability company, with its principal place of business in Las Vegas, Nevada ("Company").

This Employment Agreement ("Agreement") sets forth the terms and conditions of employment between the Company and the Employee and supersedes all prior oral or written representations, agreements, or understandings relating to employment.

2 Position & Title

The Company hereby employs the Employee in the position of [POSITION_TITLE]. The Employee's primary work site will be [SITE_LOCATION], although the Company reserves the right to assign the Employee to other sites and locations as operational needs require.

The Employee will report directly to [SUPERVISOR_NAME], or such other supervisor as the Company may designate. The Employee's duties, title, and reporting structure may be modified at the Company's discretion.

3 Compensation & Pay Schedule

The Employee will be compensated at a rate of [HOURLY_RATE] per hour. Compensation is subject to all applicable federal, state, and local payroll tax withholdings.

  • Pay Schedule: Bi-weekly via direct deposit.
  • Overtime: The Employee is classified as non-exempt under the Fair Labor Standards Act (FLSA). Hours worked in excess of forty (40) in a single workweek will be compensated at one and one-half (1.5x) the regular hourly rate, in compliance with Nevada Revised Statutes.
  • Performance Reviews: The Employee is eligible for compensation reviews at the Company's discretion, typically no more frequently than annually.
  • Deductions: The Company shall deduct from the Employee's paycheck all amounts required by law, including but not limited to federal and state income taxes, Social Security, and Medicare.
4 Schedule & Hours of Work

The Employee's schedule will be assigned by the Company based on operational requirements. Shift assignments, start times, and hours per week may vary. The Company operates on a 24/7/365 basis, and the Employee acknowledges that shift work including nights, weekends, and holidays may be required.

  • Standard shifts are typically 8 or 12 hours in duration.
  • Minimum weekly hours are not guaranteed unless otherwise agreed in writing.
  • Schedule changes will be communicated with reasonable advance notice.
  • The Employee is expected to be available and on-post for the entirety of their assigned shift.
5 Duties & Responsibilities

The Employee agrees to diligently perform all duties assigned by the Company, including but not limited to the following:

  • Maintain a professional security presence at assigned client sites in accordance with all post orders.
  • Monitor access control points, conduct patrol rounds, and enforce client-specific rules and regulations.
  • Observe and report safety hazards, security breaches, suspicious activity, and emergency situations.
  • Respond appropriately to emergencies and coordinate with law enforcement when necessary.
  • Prepare timely, accurate, and legible incident reports for all events of significance during a shift.
  • Operate all assigned equipment in a safe and lawful manner and report malfunctions immediately.
  • Maintain required licenses, certifications, and training on a current basis at all times.
  • Represent Sapphire Security Services in a professional manner at all times when in uniform or on duty.
  • Perform any additional duties as may be assigned by supervisory staff consistent with the position.

The Employee agrees to follow all Company policies, procedures, and post orders as they may be amended from time to time. Policies are communicated during orientation and through the Employee Handbook.

6 Confidentiality

The Employee acknowledges that, in the course of employment, they will have access to confidential and proprietary information belonging to the Company and its clients. "Confidential Information" includes, but is not limited to:

  • Client identities, contracts, and contact information;
  • Site layouts, facility blueprints, and property access information;
  • Security protocols, post orders, patrol routes, and schedules;
  • Incident reports, surveillance footage, and security assessments;
  • Employee personnel files, compensation data, and staffing information;
  • Business strategies, pricing, and proprietary Company processes.

The Employee agrees to hold all Confidential Information in strict confidence, to use it solely in furtherance of their employment duties, and not to disclose it to any third party — including family members, friends, or the general public — without the prior written consent of the Company.

These confidentiality obligations survive the termination of this Agreement for a period of two (2) years from the Employee's last date of employment. A separate Non-Disclosure Agreement ("NDA") is incorporated herein by reference and shall constitute an additional binding agreement between the parties.

7 Non-Competition

During the term of employment and for a period of six (6) months following the termination of employment for any reason, the Employee agrees that they will not, directly or indirectly:

  • Become employed by, consult for, or provide services to any competing security company within a twenty-five (25) mile radius of the Employee's primary assigned work site;
  • Solicit or recruit any Company employee, contractor, or client for the benefit of a competing enterprise;
  • Use the Company's Confidential Information to compete with the Company or to benefit any third party.

The Employee acknowledges that this restriction is reasonable in scope and duration given the nature of the Company's business and the access to client relationships and operational knowledge inherent in the role. If any portion of this Section is found to be unenforceable by a court of competent jurisdiction, it shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall remain in full force.

8 At-Will Employment & Termination

The Employee's employment is at-will. Either the Company or the Employee may terminate the employment relationship at any time, with or without cause, and with or without advance notice, subject to applicable law. Nothing in this Agreement, the Employee Handbook, or any other Company communication shall be interpreted as a contract of employment for a specified period or as a guarantee of continued employment.

Termination by the Company: The Company may terminate employment at any time for any lawful reason, including but not limited to: violation of Company policy, breach of this Agreement, unsatisfactory performance, criminal conduct, loss of required licensure, or reduction in business operations.

Voluntary Resignation: The Employee is requested to provide a minimum of two (2) weeks' written notice prior to voluntary resignation. This is a professional courtesy and is not legally mandated.

Return of Property: Upon termination for any reason, the Employee must immediately return all Company property, including uniforms, equipment, access credentials, keys, and any documents or materials containing Confidential Information.

9 Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Any dispute arising out of or related to this Agreement or the Employee's employment shall be subject to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada.

The Employee agrees to submit to the personal jurisdiction of such courts and waives any objection to venue.

10 General Provisions
  • Entire Agreement: This Agreement, together with the NDA and Code of Conduct, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to employment.
  • Amendments: Any modifications to this Agreement must be made in writing and signed by both parties.
  • Severability: If any provision of this Agreement is held unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of that party's right to enforce such provision in the future.
  • Headings: Section headings are for reference only and shall not affect the interpretation of this Agreement.
  • Counterparts: This Agreement may be executed in counterparts, each of which shall constitute an original.
